Doxa Terms of Service

PLEASE READ THESE TERMS CAREFULLY. BY USING THE SERVICE, YOU AGREE TO BE BOUND BY THESE TERMS. IF YOU DO NOT AGREE, DO NOT USE THE SERVICE.

These Terms form a legally binding contract between you and The Doxa Way Ltd. We encourage you to read them carefully. If anything is unclear, please contact us at support@doxa.app before using the Service.

1. Acceptance of Terms

Welcome to Doxa. These Terms are the agreement between you and us. They're written to be clear and fair — but they're still a legal contract, so please read them carefully.

By installing the app, creating an account, or otherwise using the Service, you agree to these Terms, our Privacy & Data Protection Policy, our End User License Agreement, and our Cookie Policy.

We may update these Terms at any time. Material changes will be communicated via the Service, email, or another reasonable channel. Continued use after changes constitutes acceptance of the revised Terms.

2. Definitions

  • "Service" means the Doxa mobile application, websites, APIs, and all related services
  • "User," "you," "your" refers to any individual who accesses or uses the Service
  • "User Content" means any content you create, upload, or share through the Service
  • "Company Personnel" means the directors (including Garth Hilton Watson in his capacity as director and in his personal capacity), officers, employees, agents, contractors, and affiliates of The Doxa Way Ltd

3. Eligibility

You must be at least 13 years old to use the Service. If you are between 13 and 18 years of age (or the age of majority in your jurisdiction), you must have verifiable parental or guardian consent to use the Service. By using the Service, you represent and warrant that:

  • You meet these age eligibility requirements
  • If a minor, you have obtained necessary parental or guardian consent
  • You have the legal capacity to enter into these Terms
  • You are not barred from using the Service under any applicable law

If we become aware that a user does not meet these eligibility requirements, we reserve the right to immediately suspend or terminate their access to the Service.

4. Account Registration & Security

To access certain features, you must create an account. You agree to:

  • Provide accurate, current, and complete information
  • Maintain the security and confidentiality of your login credentials
  • Notify us immediately of any unauthorized access or security breach
  • Accept full responsibility for all activities under your account
  • Not share your account or allow others to access it

We are not liable for any loss or damage arising from your failure to protect your account credentials or from unauthorized access to your account.

5. User Content

You retain ownership of all User Content you create. By submitting content to the Service, you grant us a worldwide, non-exclusive, royalty-free, sublicensable license to use, store, reproduce, modify, and display your content solely as necessary to provide the Service.

You represent and warrant that:

  • You own or have the necessary rights to your User Content
  • Your User Content does not violate any third-party rights (including intellectual property, privacy, or publicity rights)
  • Your User Content does not violate any applicable laws or regulations
  • Your User Content is accurate and not misleading

We do not endorse, verify, or take responsibility for any User Content. You are solely responsible for your content and any consequences of posting it.

6. Acceptable Use Policy

You agree NOT to:

  • Use the Service for any unlawful purpose or in violation of any laws
  • Harass, abuse, threaten, defame, or harm any person
  • Post false, misleading, fraudulent, or deceptive content
  • Impersonate any person or entity
  • Infringe any intellectual property or proprietary rights
  • Transmit viruses, malware, or other harmful code
  • Attempt to gain unauthorized access to the Service or its systems
  • Interfere with or disrupt the Service or servers
  • Use automated systems (bots, scrapers) without permission
  • Circumvent any security measures or access controls
  • Collect or harvest user data without consent
  • Use the Service for commercial purposes without authorization

7. Community Guidelines

Doxa is a Christian community app designed for spiritual encouragement. We expect users to maintain respectful, edifying communication aligned with Christian values. Content that is hateful, obscene, threatening, sexually explicit, or otherwise inappropriate may be removed without notice.

We reserve the right (but have no obligation) to review, moderate, or remove any User Content at our sole discretion.

8. Privacy & Data Protection

Your use of the Service is subject to our Privacy & Data Protection Policy, which describes how we collect, use, store, and protect your personal data.

8A. Voice Encouragement ("Engage") — Understanding This Feature

What Engage Is Designed For

Engage is a voice-enabled tool to help you remember Scripture, recall personal prophecies and testimonies, and receive encouragement rooted in God's Word. Think of it as a "smart concordance" that knows your spiritual journey.

Like any tool, it has clear limitations. Please read and understand the following so you can use Engage wisely and get the most benefit from it.

1. What Engage Cannot Replace

We've built Engage to support your faith, not to replace the essential relationships and professional services God has provided. Engage is NOT a substitute for:

  • Medical or Health Advice: This is not medical advice, diagnosis, or treatment. Do not use Engage for health-related decisions. Always consult qualified healthcare providers.
  • Mental Health Services: This is not therapy, counseling, psychological treatment, or psychiatric care. It cannot diagnose or treat mental health conditions.
  • Legal Advice: This is not legal advice. Consult a qualified solicitor or attorney for legal matters.
  • Financial Advice: This is not financial, investment, or tax advice. Consult qualified financial advisors.
  • Pastoral Counseling: This is not formal spiritual direction, pastoral counseling, or sacramental guidance. Consult your pastor, priest, or spiritual director.

2. Understanding the Technology

Being transparent about how Engage works helps you use it wisely:

  • Engage uses artificial intelligence—it's a sophisticated tool, but it's not a person and cannot know God or have faith
  • AI responses are generated based on patterns and your input; they may sometimes be inaccurate, miss context, or not apply to your situation
  • The AI cannot form genuine relationships or fully understand your unique circumstances, history, or heart
  • AI cannot provide clinical diagnosis, professional assessment, or expert judgment of any kind
  • Voice recognition works well but may occasionally misinterpret speech, especially with background noise or complex phrasing
  • Always verify Scripture references and test encouragements against God's Word and trusted counsel

3. If You're in Crisis — Please Reach Out

Engage is designed for encouragement, not crisis intervention. If you're struggling, please reach out to people who can truly help:

Engage cannot help you in emergencies. Please:

  • Contact emergency services or a crisis helpline if you're in immediate danger
  • Reach out to a trusted friend, family member, pastor, or counselor if you're struggling
  • Do not rely on any app or AI for time-sensitive safety, medical, or legal situations

4. The Irreplaceable Gift of Community

Technology has never replaced the gathered people of God, and it never will. Engage is designed to complement—not substitute for—the Body of Christ:

  • Scripture interpretations from AI should be tested against God's Word and confirmed through trusted teachers and community
  • AI cannot prophesy, provide divine revelation, or discern God's specific will—only the Holy Spirit working through Scripture and His people can do that
  • AI cannot provide sacraments, lay hands on the sick, or offer the ministry that flows from genuine Christian relationship
  • We actively encourage you to stay connected to a local church and to seek guidance from pastors, elders, or spiritual directors
  • Personal prophecies and testimonies you've recorded are referenced to encourage you—we trust you to discern their continued relevance

5. Using Engage Wisely

By using Engage, you agree that:

  • You will use your own Spirit-led discernment when evaluating any content from the AI
  • You will seek qualified professionals for medical, mental health, legal, and financial matters
  • You will consult trusted spiritual leaders for significant spiritual decisions
  • You understand that Engage is a tool to help you remember and be encouraged, not to direct your life
  • You accept responsibility for decisions you make, with or without input from any technology
  • You acknowledge that we provide this service in good faith but cannot guarantee specific outcomes

8B. Subscription & Payment Terms

Free Trial

  • New users may receive limited free access to certain features including voice chat
  • Free trial duration, features, and usage limits are subject to change without notice
  • No payment information is required to access free trial features
  • We reserve the right to modify, limit, or discontinue free trial offerings at any time

Paid Subscriptions

  • Subscriptions are billed on a recurring basis (monthly or as specified)
  • Prices are displayed in the app before purchase and may vary by region
  • Subscriptions automatically renew unless cancelled before the renewal date
  • We may change subscription prices with reasonable notice; price changes apply to subsequent billing periods

Cancellation & Refunds

  • Cancel anytime through your device's subscription settings (App Store or Google Play) or by contacting us at support@doxa.app
  • Access continues until the end of the current paid billing period
  • No prorated refunds are provided for partial billing periods
  • Refunds may be available in accordance with applicable consumer protection laws

Usage Limits

  • Each subscription tier includes specific usage limits (session duration, frequency, features)
  • Exceeding limits may require upgrading your subscription tier
  • We reserve the right to modify usage limits with reasonable notice
  • Abuse of the Service may result in account suspension regardless of subscription status

Payment Processing

Payments for Doxa subscriptions are processed through:

  • Apple App Store (iOS): In-app purchases processed by Apple. Subject to Apple's Terms
  • Google Play (Android): In-app purchases processed by Google. Subject to Google Play Terms
  • Stripe (secondary): Used as a secondary processor for certain payment methods. Subject to Stripe's Privacy Policy

We do not store your full payment card details. All payment data is handled by the respective payment processor.

8C. The Grace Record — Testimonies of God's Faithfulness

The Grace Record is an archive of testimonies about what God has done throughout history and in believers' lives today. We curate these stories to encourage faith, but we want you to understand how to engage with them wisely.

1. Personal Accounts, Not Verified Facts

  • Testimonies represent personal experiences and beliefs of the individuals who shared them
  • We do not independently verify claims, including accounts of healing, provision, or supernatural intervention
  • Historical testimonies are compiled from published sources and may contain inaccuracies common to historical accounts
  • We include testimonies to encourage faith, not to make claims about what God will do in your specific situation

2. AI-Generated Artwork

  • Featured images accompanying testimonies are often created using artificial intelligence
  • These images are artistic interpretations meant to set the scene—they are not photographs or historical documentation
  • Images should never be considered evidence of actual historical events, locations, or persons
  • AI-generated images are labelled as such where they appear

3. Testimonies Are for Encouragement, Not Medical Guidance

  • Healing testimonies celebrate what individuals believe God has done—they are not medical evidence or treatment recommendations
  • Never discontinue, modify, or avoid medical treatment based on any testimony you read
  • Always consult qualified healthcare providers for medical decisions—this honours both wisdom and faith
  • God works through doctors, medicine, and prayer; these testimonies are not meant to suggest otherwise

4. Sharing Your Testimony

  • We welcome submissions from believers who want to share what God has done in their lives
  • You are responsible for the accuracy and truthfulness of testimonies you submit
  • We may edit submissions for clarity, grammar, or length, and may decline to publish any submission
  • By submitting, you grant us permission to publish, display, and share your testimony to encourage others
  • Please ensure you have permission to share stories that involve other identifiable individuals

8D. Scripture Copyright Attributions

The Service displays Scripture quotations from several Bible translations. We are grateful to the publishers and copyright holders who make these translations available. The following copyright notices apply:

9A. Copyright and Intellectual Property Claims

If you believe content on the Service infringes your copyright, please send a notice to our designated agent:

10. Third-Party Services

The Service integrates with third-party services (e.g., authentication providers, AI services, analytics). Your use of these services is subject to their respective terms and privacy policies. We are not responsible for the practices, content, or availability of third-party services.

11. Termination

By Us: We may suspend or terminate your access to the Service at any time, with or without notice, for any reason, including (but not limited to) violation of these Terms, suspected fraudulent or illegal activity, or discontinuation of the Service.

By You: You may terminate your account at any time by using the in-app account deletion feature or by contacting support@doxa.app.

Upon termination, your right to use the Service immediately ceases. We may retain certain data as required by law or for legitimate business purposes.

12. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, WE DISCLAIM ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO:

  • IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT
  • WARRANTIES THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE OF VIRUSES
  • WARRANTIES REGARDING THE ACCURACY, RELIABILITY, OR COMPLETENESS OF ANY CONTENT
  • WARRANTIES THAT THE SERVICE WILL MEET YOUR REQUIREMENTS OR EXPECTATIONS

What this means

We work hard to keep Doxa running well, but we can't promise it will be perfect 100% of the time. Like any app, things can occasionally go wrong — a server might be slow, a feature might have a bug, or AI might give an imperfect response. We're telling you upfront so there are no surprises.

We believe God works powerfully through His Word, His people, and His Spirit. Doxa is designed to help you remember what God has done and spoken—not to replace the irreplaceable gifts of Christian community, pastoral care, and personal relationship with Jesus.

We welcome believers from all Christian traditions—whether you identify as Catholic, Orthodox, Protestant, Evangelical, Charismatic, or simply a follower of Jesus. Our tools are meant to serve your faith journey, never to define or limit it.

SPIRITUAL CONTENT DISCLAIMER: The Service, including the Engage voice chat and Grace Record archive, facilitates spiritual encouragement based on Scripture, personal prophecies, and testimonies. This content:

  • Is for encouragement and inspiration, not authoritative doctrine or directive guidance
  • Should be tested against Scripture and confirmed through prayer, community, and wise counsel
  • Does not replace the gathered Body of Christ, sacramental worship, or pastoral relationships
  • Represents the personal experiences and beliefs of users, which we do not independently verify
  • Should never be the sole basis for major life decisions

13. Limitation of Liability

Understanding This Section

This section limits our financial responsibility if something goes wrong. We provide Doxa in good faith to help your spiritual journey, but like any service, things can occasionally go wrong. These limits protect the Company so we can continue serving our community. Please read carefully—this affects your legal rights.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW:

A. EXCLUSION OF DAMAGES: IN NO EVENT SHALL THE COMPANY, ITS DIRECTORS (INCLUDING GARTH HILTON WATSON IN HIS CAPACITY AS DIRECTOR AND IN HIS PERSONAL CAPACITY), OFFICERS, EMPLOYEES, AGENTS, CONTRACTORS, AFFILIATES, LICENSORS, OR SERVICE PROVIDERS (COLLECTIVELY, "COMPANY PERSONNEL") BE LIABLE FOR ANY:

  • INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES OF ANY KIND
  • LOSS OF PROFITS, REVENUE, BUSINESS, ANTICIPATED SAVINGS, DATA, GOODWILL, OR OTHER INTANGIBLE LOSSES
  • DAMAGES ARISING FROM UNAUTHORIZED ACCESS TO OR USE OF OUR SERVERS OR YOUR DATA
  • DAMAGES ARISING FROM INTERRUPTION, SUSPENSION, MODIFICATION, OR CESSATION OF THE SERVICE
  • DAMAGES ARISING FROM ANY BUGS, VIRUSES, SECURITY VULNERABILITIES, OR HARMFUL CODE TRANSMITTED THROUGH THE SERVICE
  • DAMAGES ARISING FROM ANY CONTENT POSTED BY USERS OR THIRD PARTIES
  • DAMAGES ARISING FROM YOUR RELIANCE ON ANY CONTENT, INFORMATION, ADVICE, OR DATA OBTAINED THROUGH THE SERVICE
  • DAMAGES ARISING FROM DECISIONS YOU MAKE BASED ON AI-GENERATED CONTENT, SPIRITUAL ENCOURAGEMENT, OR TESTIMONIES
  • DAMAGES ARISING FROM ANY THIRD-PARTY PRODUCTS, SERVICES, OR WEBSITES ACCESSED THROUGH THE SERVICE
  • COST OF PROCUREMENT OF SUBSTITUTE GOODS OR SERVICES

B. LIABILITY CAP: THE TOTAL AGGREGATE LIABILITY OF COMPANY PERSONNEL FOR ANY AND ALL CLAIMS ARISING FROM OR RELATED TO THESE TERMS OR THE SERVICE, WHETHER IN CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY, OR OTHERWISE, SHALL NOT EXCEED THE GREATER OF: (I) THE TOTAL AMOUNT YOU PAID TO US IN THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (II) ONE HUNDRED POUNDS STERLING (£100.00).

C. ESSENTIAL PURPOSE: THESE LIMITATIONS SHALL APPLY EVEN IF ANY REMEDY SET FORTH HEREIN FAILS OF ITS ESSENTIAL PURPOSE, EVEN IF THE COMPANY HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES, AND REGARDLESS OF THE THEORY OF LIABILITY (WHETHER IN CONTRACT, TORT, STRICT LIABILITY, BREACH OF WARRANTY, NEGLIGENCE, OR OTHERWISE).

D. MULTIPLE CLAIMS: THE EXISTENCE OF ONE OR MORE CLAIMS UNDER THESE TERMS WILL NOT INCREASE THE LIABILITY CAP. THE AGGREGATE LIABILITY CAP IS A CUMULATIVE LIMIT ACROSS ALL CLAIMS.

E. JURISDICTIONAL LIMITATIONS: SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF CERTAIN DAMAGES OR LIABILITY. IN SUCH JURISDICTIONS, OUR LIABILITY IS LIMITED TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW. NOTHING IN THESE TERMS SHALL LIMIT OR EXCLUDE OUR LIABILITY FOR: (I) DEATH OR PERSONAL INJURY CAUSED BY OUR NEGLIGENCE; (II) FRAUD OR FRAUDULENT MISREPRESENTATION; OR (III) ANY OTHER LIABILITY THAT CANNOT BE EXCLUDED OR LIMITED BY APPLICABLE LAW.

F. BASIS OF THE BARGAIN: YOU ACKNOWLEDGE AND AGREE THAT THE LIMITATIONS OF LIABILITY SET FORTH IN THIS SECTION ARE FUNDAMENTAL ELEMENTS OF THE BASIS OF THE BARGAIN BETWEEN YOU AND THE COMPANY, WITHOUT WHICH THE COMPANY WOULD NOT PROVIDE THE SERVICE ON THESE TERMS.

What this means

If something goes wrong with Doxa, the most we could owe you financially is what you've paid us in the last 12 months (or £100, whichever is more). This is a standard protection that allows us to offer the Service at an accessible price. It doesn't affect your statutory rights.

14. Indemnification

You agree to indemnify, defend, and hold harmless the Company and all Company Personnel from and against any and all claims, demands, actions, suits, proceedings, damages, losses, liabilities, judgments, settlements, costs, and expenses (including reasonable legal fees and disbursements) arising from or related to:

  • Your access to or use of the Service
  • Your User Content, including any claims that such content infringes or misappropriates any third-party rights
  • Your breach or alleged breach of these Terms
  • Your violation of any applicable law, regulation, or third-party rights
  • Any dispute between you and another user arising from your use of the Service
  • Any claim that your User Content caused damage, harm, or injury to a third party
  • Your negligent or wrongful acts or omissions in connection with the Service
  • Any misrepresentation made by you in connection with your use of the Service

Defence and Settlement: You agree that the Company may, at its sole discretion, assume the exclusive defence and control of any matter subject to indemnification by you. You agree not to settle any such matter without the prior written consent of the Company. You agree to cooperate fully with the Company in the defence of any such claim.

Survival: This indemnification obligation shall survive termination or expiration of your account and these Terms, and shall remain in full force and effect regardless of any limitation of liability or other provision herein.

This indemnification is in addition to, and not in lieu of, any other remedies available to the Company at law or in equity.

What this means

If someone sues us because of something you did on Doxa (like posting content that infringes someone's copyright), you agree to cover our legal costs. This is standard for any platform where users create and share content. It doesn't apply to normal, lawful use of the Service.

15. Release & Waiver

To the maximum extent permitted by applicable law, you hereby release and forever discharge the Company and all Company Personnel from any and all claims, demands, damages, losses, costs, expenses, and liabilities of any kind (whether known or unknown, suspected or unsuspected, disclosed or undisclosed) arising out of or related to:

  • Disputes between users
  • Actions or inactions of other users
  • User Content posted by other users
  • Your interactions with other users through the Service
  • Any reliance you place on information, content, or advice obtained through the Service
  • Any decisions you make based on spiritual content, AI-generated responses, or testimonies

To the extent permitted by law, you expressly waive any protections (whether statutory or otherwise) that would otherwise limit this release to only those claims you know or suspect to exist at the time of this agreement.

Nothing in this section limits or excludes liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation, or any other liability that cannot be excluded or limited by applicable law.

16. Changes to the Service

We reserve the right to modify, suspend, or discontinue any part of the Service at any time, with or without notice. We are not liable to you or any third party for any modification, suspension, or discontinuation of the Service.

17. Governing Law

These Terms are governed by and construed in accordance with the laws of England & Wales, without regard to conflict of law principles. You agree to submit to the exclusive jurisdiction of the courts of England & Wales for any disputes arising from these Terms or the Service.

18. Dispute Resolution

We Want to Resolve Issues Fairly

We value our relationship with you. If something goes wrong, we genuinely want to make it right. The procedures below are designed to resolve disputes quickly and fairly, while protecting both parties from frivolous or vexatious claims.

Step 1: Informal Resolution (Required First Step)

Before initiating any formal legal proceedings, you must first contact us in writing at legal@doxa.app describing your concern in reasonable detail. We commit to acknowledging your concern within 7 business days and working in good faith to resolve the matter within 30 days.

This informal resolution requirement is a condition precedent to any formal proceedings. Any party who initiates formal proceedings without first completing this step may be liable for the other party's costs incurred as a result.

Step 2: Mediation (Optional)

If informal resolution is unsuccessful, either party may propose mediation before an independent mediator. The costs of mediation shall be shared equally unless the mediator determines otherwise. Mediation is voluntary but encouraged.

Step 2B: Binding Arbitration (US Users Only)

If you are located in the United States and informal resolution and mediation fail, either party may elect binding arbitration under the JAMS Streamlined Arbitration Rules.

  • Arbitration shall be conducted by a single neutral arbitrator
  • Arbitration may be conducted virtually or at a location mutually agreed upon
  • The arbitrator's decision shall be final and binding and may be entered as a judgment in any court of competent jurisdiction
  • Small Claims Court Carve-Out: Either party may bring an individual action in small claims court instead of arbitration, provided the claim falls within that court's jurisdiction
  • Jury Trial Waiver: BY AGREEING TO ARBITRATION, YOU WAIVE YOUR RIGHT TO A JURY TRIAL
  • Exhaustion of Remedies: You must complete the informal resolution and mediation steps before commencing arbitration
  • Costs: Each party bears their own costs, unless the arbitrator determines otherwise

This arbitration provision does not apply to users outside the United States.

Step 3: Formal Proceedings

If informal resolution and any mediation fail, disputes shall be resolved in the courts of England and Wales. Any legal action must be commenced within one (1) year after the cause of action arises, except where a longer period is required by mandatory applicable law.

Class Action Waiver

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, YOU AGREE THAT ANY DISPUTE RESOLUTION PROCEEDINGS WILL BE CONDUCTED ONLY ON AN INDIVIDUAL BASIS AND NOT IN A CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION. YOU WAIVE ANY RIGHT TO PARTICIPATE AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS ACTION, COLLECTIVE ACTION, OR REPRESENTATIVE PROCEEDING.

Costs and Vexatious Claims

If you bring a claim against the Company that is determined by a court to be frivolous, vexatious, or without merit, you agree to reimburse the Company for all reasonable legal costs, fees, and expenses incurred in defending against such claim.

Conversely, if the Company brings an action against you that is determined to be frivolous or vexatious, the Company shall reimburse your reasonable legal costs, fees, and expenses. This mutual commitment reflects our belief in fair dealing.

Preservation of Rights

Nothing in this section prevents either party from seeking urgent injunctive or equitable relief in any court of competent jurisdiction where necessary to prevent irreparable harm.

19. Force Majeure

Neither party shall be liable for any failure or delay in performing their obligations under these Terms where such failure or delay results from circumstances beyond their reasonable control ("Force Majeure Event"), including but not limited to:

  • Acts of God, natural disasters, earthquakes, floods, fires, or severe weather events
  • War, armed conflict, acts of terrorism, civil unrest, riots, or insurrection
  • Epidemics, pandemics, or public health emergencies
  • Government actions, laws, regulations, embargoes, or sanctions
  • Labor disputes, strikes, lockouts, or industrial action
  • Power failures, telecommunications failures, or internet disruptions
  • Third-party service provider failures or outages beyond our control
  • Cyberattacks, denial of service attacks, or other malicious activities
  • Any other event beyond the reasonable control of the affected party

The affected party shall: (i) promptly notify the other party of the Force Majeure Event; (ii) use reasonable efforts to mitigate the effects of the Force Majeure Event; and (iii) resume performance as soon as reasonably practicable after the Force Majeure Event ceases.

If a Force Majeure Event continues for more than ninety (90) consecutive days, either party may terminate these Terms upon written notice to the other party, without liability for such termination.

20. Severability

If any provision of these Terms is found to be invalid, illegal, or unenforceable by a court of competent jurisdiction, such provision shall be modified to the minimum extent necessary to make it valid and enforceable, or if modification is not possible, severed from these Terms. The remaining provisions shall continue in full force and effect.

21. Entire Agreement

These Terms, together with our Privacy & Data Protection Policy, End User License Agreement (EULA), Cookie & Tracking Policy, and Community Guidelines (collectively, the "Agreement"), constitute the entire agreement between you and the Company regarding your access to and use of the Service.

This Agreement supersedes all prior and contemporaneous agreements, proposals, representations, warranties, understandings, and communications, whether oral or written, between you and the Company regarding the subject matter hereof.

In the event of any conflict or inconsistency between these Terms and any other document forming part of the Agreement, these Terms shall prevail to the extent of such conflict, unless the conflicting provision in the other document expressly states that it takes precedence over these Terms.

22. No Waiver

Our failure or delay in exercising or enforcing any right, remedy, power, or provision of these Terms shall not operate as a waiver thereof, nor shall any single or partial exercise of any right, remedy, power, or provision preclude any other or further exercise thereof or the exercise of any other right, remedy, power, or provision.

Any waiver of any provision of these Terms must be: (i) in writing; (ii) signed by an authorized representative of the Company; and (iii) shall be effective only to the extent specifically set forth in such written waiver. No waiver shall constitute a continuing waiver or a waiver of any other provision.

23. Assignment

You may not assign or transfer these Terms or your rights hereunder without our prior written consent. We may assign these Terms without restriction. These Terms bind and inure to the benefit of permitted successors and assigns.

24. Notices

Notices to You: We may provide notice to you by: (i) posting a notice on the Service; (ii) sending a message to the email address associated with your account; or (iii) any other reasonable means. Notices posted on the Service are effective immediately. Notices sent by email are effective when sent, regardless of whether you actually receive or read them.

You are responsible for maintaining a current, valid email address in your account. Failure to receive notices due to an outdated or incorrect email address does not excuse your obligations under these Terms.

25. Third-Party Rights

Except as expressly provided in these Terms (including with respect to Apple Inc. and Google LLC as described in our EULA), these Terms do not create any rights for any person who is not a party to them. No person who is not a party to these Terms may enforce any of its terms under the Contracts (Rights of Third Parties) Act 1999 or otherwise.

Protected Persons: Notwithstanding the foregoing, Company Personnel (as defined herein) are express third-party beneficiaries of the limitation of liability, indemnification, release, and disclaimer provisions of these Terms, and may enforce such provisions directly against you.

26. Interpretation

In these Terms, unless the context otherwise requires:

  • Headings are for convenience only and shall not affect interpretation
  • Words in the singular include the plural and vice versa
  • "Including" means "including without limitation" and shall not limit the generality of any preceding words
  • References to "days" mean calendar days unless otherwise specified
  • References to legislation include any amendments, re-enactments, or successor legislation
  • No rule of construction shall apply to the disadvantage of a party because that party was responsible for drafting these Terms

27. Survival

The following sections shall survive any termination or expiration of these Terms: Definitions, User Content (regarding license grants), Disclaimers, Limitation of Liability, Indemnification, Release & Waiver, Governing Law, Dispute Resolution, and any other provisions that by their nature should survive termination.
